1. SCOPE; RELATIONSHIP TO THE ACCOUNT TERMS
These AI Terms of Use govern the use of artificial intelligence, in any form and regardless of the specific technology, model, protocol, or method by which it is made available or integrated, in connection with the Site, any Product, any Solution, or a tool made available through the Marketplace, on any Platform Leovoid now operates or later operates or introduces. This includes, without limitation, large language models, generative AI, machine learning models, voice synthesis and voice recognition systems, automated decision-support tools, conversational interfaces, and any automated or semi-automated system that generates content, makes a determination, or takes an action in connection with the Services.
These AI Terms of Use are incorporated by reference into the Master Account Terms of the applicable Platform, and apply uniformly across every Platform, Product, and Solution, and across all Leovoid-operated domains and subdomains, regardless of whether a specific artificial intelligence feature is described elsewhere in the Agreement under its own feature name.
These AI Terms of Use build on, and do not replace or duplicate, the AI Help Center provisions of the applicable Platform’s Master Account Terms — including that an AI system may take an action or access data only to the extent the requesting User could do so directly, that AI write-access is itself a permission that may be enabled or disabled for a role, and that AI-performed actions are logged and shown to Customer alongside User-performed actions. Those provisions apply equally to every use of artificial intelligence described in these AI Terms of Use.
Capitalized terms not defined in these AI Terms of Use have the meaning given in the applicable Platform’s Master Account Terms or, where applicable, the Product Terms or Solution Terms for the Product or Solution in which the artificial intelligence feature is used.
2. CATEGORIES OF AI SYSTEMS COVERED
These AI Terms of Use apply to every category of artificial intelligence Leovoid makes available in connection with the Services, including: (a) the AI Help Center and similar real-time conversational interfaces that access or act on Account, Product, Solution, or Marketplace tool data at a User’s request; (b) Automated Tasks, meaning AI-driven scheduled, recurring, or conditional task execution without a User present at the time of execution; (c) AI voice agents, including outbound and inbound voice interactions conducted wholly or partly by an automated system; (d) generative or content-transformation AI features, such as a content-simplification or drafting feature, that produce new content or transform existing content; (e) AI Leovoid uses internally to operate, secure, or improve the Services, including fraud and abuse detection; and (f) External AI Connections, meaning an external artificial intelligence platform, model, or agent Customer connects to the Account under Section 14. Not every category is available within every Product, Solution, or Marketplace tool; a category is available only where the applicable Product Terms, Solution Terms, or Tool Addendum states that it is.
3. DEFINITIONS
“AI System” means any of the categories of artificial intelligence described in Section 2, individually or collectively as context requires.
“Generative AI” means an AI System that produces new content — including text, summaries, simplified or transformed versions of existing content, or drafted material — in response to an input or a configured trigger.
“Voice Agent” means an AI System that conducts a voice interaction, in whole or in part, without a live human representative on the call at that time.
“Automated Task” means a task Customer configures for an AI System to execute on a scheduled, recurring, or conditional basis — for example, initiating a scan of a specified asset on a recurring schedule, registering a new asset, or sending a notification or report — without a User actively present at the time of execution.
“AI-Executed Action” means any action taken by an AI System on Customer’s behalf, whether in response to a real-time request under the applicable Platform’s AI Help Center provisions, as part of an Automated Task under these AI Terms of Use, or through an External AI Connection under Section 14.
“External AI Connection” has the meaning given in Section 14.
“High-Stakes Decision” means a determination that could result in suspension, restriction, or termination of an Account, a Product, a Solution, or a Marketplace tool, or a financial action against Customer, as further described in Section 19.
“AI Output” means any content, determination, recommendation, notification, transcription, translation, or other result generated or produced by an AI System.
4. AI OUTPUT DISCLAIMER
4.1 General Disclaimer. AI Output may be inaccurate, incomplete, or unsuitable for Customer’s particular purpose. This is true whether the AI System is operated by Leovoid, is a large language model or other model Leovoid has selected, or is a model or provider Customer has connected under Section 14. Customer should independently verify material information generated or surfaced by an AI System before relying on it.
4.2 No Professional Advice. AI Output does not constitute legal, financial, tax, accounting, medical, engineering, or other professional or specialized advice, and must not be treated as a substitute for the involvement of a qualified professional, unless expressly stated otherwise in a separate written agreement. This applies with equal force to a Generative AI feature that drafts, summarizes, or simplifies content, and to a determination an AI System makes about a Registered Asset, an Account, or any other subject matter within the Services.
4.3 No Guarantee of Freedom From Error or Bias. Leovoid does not warrant that an AI System will operate uninterrupted, free from error, free from bias, or free from unintended or hallucinated content, and Customer remains solely responsible for its own use of, and reliance on, AI Output.
5. REAL-TIME AI INTERACTIONS; DISCLOSURE
5.1 Relationship to the AI Help Center. Where Customer or a User interacts with the AI Help Center or a similar AI-driven feature in real time, that interaction is governed by the applicable Platform’s Master Account Terms, including its permission-bound-operation and activity-logging principles, and by the AI Output Disclaimer in Section 4. This Section does not independently expand what the AI Help Center may do; it confirms that these AI Terms of Use apply to that feature as they do to every other use of artificial intelligence described here.
5.2 Disclosure of Automated Interactions. Where an individual interacts with an AI System operated by or on behalf of Leovoid in a manner where a reasonable person could believe they are communicating with a human — including a voice call, a chat interface, or a similar real-time interaction — Leovoid discloses, during that interaction, that the individual is interacting with an artificial intelligence system rather than a human, consistent with applicable law.
5.3 Access to a Human Alternative. Where required by applicable law, and where a human representative is reasonably available to handle the matter, Leovoid provides a means for the individual to request to be connected with, or referred to, a human representative instead of continuing with the AI System.
6. PROHIBITED USES OF AI FEATURES
6.1 General Prohibition. Customer will not, and will not permit a User or any other person to, use an AI System — including the AI Help Center, an Automated Task, a Generative AI feature, a Voice Agent, or an External AI Connection — to engage in, facilitate, or generate content in furtherance of any of the categories described in this Section 6.
6.2 Discriminatory Profiling. Using an AI System to explicitly predict, infer, or categorize an individual based on a protected characteristic — including racial or ethnic origin, political opinion, religious or philosophical belief, trade union membership, age, gender, sex life or sexual orientation, disability, health status or medical condition, financial status, or criminal history or the likelihood of criminal conduct — except where Leovoid has expressly authorized that specific use in writing and appropriate safeguards are in place.
6.3 Illegal or Harmful Content. Using an AI System to generate, distribute, or facilitate content that is illegal, that facilitates violence, self-harm, or exploitation of a minor, that constitutes non-consensual intimate imagery, or that otherwise violates applicable law.
6.4 Circumventing Safeguards. Attempting to bypass, disable, or manipulate a safety, moderation, permission, or access-control feature of an AI System, including through prompt injection, jailbreaking, or similar techniques, or using an External AI Connection for the purpose of circumventing a restriction that would otherwise apply under the Agreement.
6.5 Unauthorized Data Extraction. Using an AI System, including an External AI Connection, to extract, scrape, or compile data belonging to another Customer or to Leovoid beyond what the requesting User is authorized to access, consistent with the permission-bound-operation principle in Section 5.1.
6.6 Competing Model Development. Using AI Output, or access to an AI System, to develop, train, or improve an artificial intelligence model or product that competes with the Services, consistent with the AI-training and scraping restrictions of the Website Terms of Use.
6.7 Consequences. A violation of this Section 6 is a material breach of the Agreement and is grounds for suspension or termination under Section 16, in addition to any other remedy available to Leovoid.
7. OWNERSHIP AND LICENSE TO AI-GENERATED CONTENT
7.1 Customer’s License to Use AI Output. Subject to Customer’s compliance with the Agreement, Leovoid grants Customer a non-exclusive right to use AI Output generated for Customer through the Services for Customer’s internal business purposes, consistent with the license granted for the Services generally under the applicable Product Terms and Solution Terms.
7.2 No Assertion of Ownership Over Customer’s Own Content. Leovoid does not claim ownership of Customer Data or Customer Content that Customer submits as an input to an AI System; Section 4 (AI Output Disclaimer) and Section 6 (Prohibited Uses) continue to apply to how that content may be used and what may be generated from it.
7.3 Third-Party and External AI Output. Where AI Output is generated using a third-party model Leovoid provides under Section 14.5, or a model or provider Customer connects under Section 14, Customer’s rights in that Output are additionally subject to that third party’s own terms, to the extent those terms are disclosed to Customer or incorporated by reference.
8. CREATING, MODIFYING, AND CANCELING AN AUTOMATED TASK
8.1 Configuration. A User may create an Automated Task only where that User holds the applicable permission at the time of configuration, consistent with the roles and permissions provisions of the applicable Platform’s Master Account Terms. Customer may modify, pause, or cancel an Automated Task at any time through the applicable Product or Solution.
8.2 Ownership and Visibility. An Automated Task is associated with the Account, not solely with the User who configured it; any User holding the applicable permission may view, modify, pause, or cancel an Automated Task configured by a different User, consistent with the roles and permissions provisions of the applicable Platform’s Master Account Terms.
9. EXECUTION BASIS FOR AUTOMATED TASKS
9.1 Conditions Re-Checked at Execution, Not at Configuration. An Automated Task executes based on the permissions, Subscription status, Plan Limits, and status of any Registered Asset or other data it relates to, each as they exist at the time of execution — not as they existed at the time the Automated Task was configured. Leovoid does not execute an Automated Task, in whole or in part, to the extent doing so would exceed the applicable Plan Limits, require a permission no longer held by the User who configured it, or act on a Registered Asset or other data that is no longer active or accessible to the Account at the time of execution.
9.2 No Retroactive Execution. If an Automated Task does not execute, in whole or in part, because a condition described in Section 9.1 is not met at the scheduled or triggering time, Leovoid has no obligation to execute it retroactively once the condition is later met, unless the Automated Task’s own recurrence would independently cause it to execute again at its next scheduled or triggering occurrence.
9.3 No Guaranteed Timing. Automated Tasks are executed on a best-efforts basis according to the schedule or condition Customer configures. Leovoid does not guarantee that a scheduled or conditional Automated Task will execute at a precise time, on every scheduled occurrence, or without delay, and exact timing may vary due to system load, maintenance, or other technical factors. Customer should not rely on an Automated Task as the sole means of accomplishing a time-sensitive action.
10. NOTIFICATION AND JUDGMENT-BASED AUTOMATED TASKS
10.1 Automated Determination. Where an Automated Task involves an AI System evaluating a condition and determining whether to notify Customer — for example, notifying Customer only if a Scan identifies a new or worsened finding — that determination is made automatically and may be inaccurate, incomplete, or delayed.
10.2 Absence of Notification Is Not Evidence of Anything. THE ABSENCE OF A NOTIFICATION UNDER AN AUTOMATED TASK IS NOT EVIDENCE THAT NO ISSUE EXISTS, THAT NOTHING HAS CHANGED, OR THAT ANY UNDERLYING CONDITION HAS BEEN MET, AVOIDED, OR RESOLVED. Customer remains solely responsible for independently reviewing its Reports, results, and Account activity, and must not rely exclusively on an Automated Task’s notification judgment as its sole means of monitoring a Registered Asset or other data.
11. AUTHORIZATION FOR AI-EXECUTED ACTIONS
Where an Automated Task, a real-time AI-executed action, or an action taken through an External AI Connection results in an action that would otherwise require Customer’s representation, warranty, or authorization under the Agreement — including registering a Registered Asset — that action is treated as though Customer performed it directly, and Customer’s representations, warranties, and responsibilities under the Agreement, including the Authorization Warranty in the applicable Product Terms, apply in the same manner as if a User had performed the action itself.
12. AUTOMATED COMMUNICATIONS
Where an Automated Task or an AI-executed action results in Leovoid sending Customer, or a recipient Customer designates, an email or other communication — including delivery of a scheduled Report — that communication is governed by the Communications provisions of the applicable Platform’s Master Account Terms. Customer is responsible for the accuracy of any recipient information it provides for this purpose, and Leovoid is not responsible for a communication sent to a recipient Customer designated in error.
13. PLAN LIMITS ON AUTOMATED TASKS
The number of Automated Tasks Customer may configure, and any limit on their frequency, scope, or the conditions they may evaluate, are Plan Limits governed by the applicable Product or Solution Terms. If a downgrade would reduce Customer’s Automated Task capacity below the number of Automated Tasks then configured, Customer must select which to retain, following the guided-selection process described in the Plan Changes provisions of the applicable Platform’s Master Account Terms.
14. EXTERNAL AI CONNECTIONS
14.1 What This Section Covers. Customer may connect an external artificial intelligence platform, model, or agent — including through the Model Context Protocol (MCP) or a similar protocol — to the Account, a Product, or a Solution (an “External AI Connection”), enabling that external AI to take action on Customer’s behalf, including to automate, execute, search, schedule, or otherwise perform actions available through the Account, a Product, a Solution, or a Marketplace tool. This Section provides the detailed terms governing an External AI Connection; the applicable Platform’s Master Account Terms separately confirms that an External AI Connection is a Non-Leovoid Application.
14.2 Permission-Bound Operation. An External AI Connection may take an action or access data only to the extent the User who authorized the connection could do so directly, consistent with the principle stated for the AI Help Center in the applicable Platform’s Master Account Terms.
14.3 Customer’s Responsibility for the Connection. Customer is solely responsible for the security of any credentials, keys, or tokens used to authorize an External AI Connection, for configuring the scope of access it grants, for reviewing and limiting the permissions assigned to the connecting User, and for all actions taken through that connection whether or not Customer specifically directed each individual action.
14.4 Liability for External AI. Leovoid is not responsible for any action, inaction, output, error, or harm caused by, or arising from, an External AI Connection, or for that external AI’s provider’s own acts or omissions. Liability for such matters rests with Customer and, as between Customer and the external AI’s provider, with that provider under its own terms and policies.
14.5 Facilitated Third-Party Connections. Where Leovoid has an integration agreement with a third-party large language model provider, Leovoid may, in its discretion, facilitate guided account creation or account linking for that provider directly through the Platform. Use of a provider connected under this Section, whether newly created or linked from an existing account, remains an External AI Connection governed by this Section 14 and by that provider’s own terms and policies.
14.6 Suspension or Revocation. Leovoid may suspend or revoke an External AI Connection at any time where Leovoid reasonably believes it is being used abusively, in violation of the Agreement, or in a manner that poses a risk to Leovoid’s infrastructure, security, or other customers.
15. MONITORING, SECURITY, AND ENFORCEMENT
15.1 Monitoring for Misuse. Leovoid uses a combination of automated systems and, where appropriate, human review to detect activity suggesting a violation of Section 6 (Prohibited Uses) or another provision of these AI Terms of Use. Leovoid is not obligated to review every use of an AI System, and the absence of a detected violation does not constitute Leovoid’s endorsement or approval of any particular use.
15.2 Notice of Enforcement Action. Where Leovoid takes enforcement action under these AI Terms of Use — including suspending, disabling, or restricting an AI System, an Automated Task, or an External AI Connection — Leovoid provides notice to Customer describing the reason for that action to the extent Leovoid can do so without compromising an investigation, violating a legal restriction, or creating a security risk.
15.3 Cooperation. Customer will reasonably cooperate with an inquiry Leovoid conducts under this Section, including by providing information reasonably requested to investigate a suspected violation.
16. SUSPENSION OR DISABLING OF AI-DRIVEN FEATURES
Leovoid may suspend, disable, or delete an Automated Task, an External AI Connection, or any other AI-driven feature under these AI Terms of Use, at any time where Leovoid reasonably believes it is being used abusively, in violation of the Agreement (including Section 6), or in a manner that poses a risk to Leovoid’s infrastructure, security, or other customers. Where the suspension arises from a High-Stakes Decision, Section 19 additionally applies.
17. USE OF INTERACTION DATA TO IMPROVE LEOVOID’S AI SYSTEMS
17.1 Permitted Use. Leovoid may use data generated through Customer’s and Users’ interactions with an AI System — including AI Help Center conversations, Automated Task configurations, Voice Agent interactions, and other AI-driven feature interactions — to train, develop, test, and improve Leovoid’s own artificial intelligence systems and related products and services. This use is for Leovoid’s product development and service improvement purposes.
17.2 Handling of This Data. Data used under Section 17.1 is handled in accordance with the Privacy Policy, including its data security and retention provisions. Leovoid does not sell this data to third parties for their own independent marketing purposes.
17.3 No Current Opt-Out. As of the effective date of these AI Terms of Use, Leovoid does not offer Customer the ability to opt individual interactions out of the use described in Section 17.1. Leovoid may introduce an opt-out mechanism in the future, in which case this Section will be updated to describe it.
18. VOICE DATA
18.1 Collection. Where Customer or a User interacts with a Voice Agent Leovoid operates, Leovoid may collect and process the individual’s voice as part of that interaction, including for the purposes of conducting the call, generating a transcript, and improving Leovoid’s Voice Agents consistent with Section 17.
18.2 Potential Biometric Classification. Depending on the jurisdiction and how voice data is processed, applicable law may classify voice data as biometric data. Leovoid handles voice data collected through a Voice Agent in accordance with the Privacy Policy and applicable Data Protection Laws, including any jurisdiction-specific consent or disclosure obligation that applies to biometric data.
18.3 No Voice Cloning of Individuals Without Consent. Leovoid does not use an individual’s voice, collected through a Voice Agent or otherwise, to create a synthetic voice model replicating that individual’s voice, without that individual’s explicit consent.
19. HIGH-STAKES DECISIONS; HUMAN REVIEW
19.1 Two-Stage Process. Where an AI System flags a potential concern that could result in a High-Stakes Decision — including suspension of an Account, a Product, a Solution, or a Marketplace tool, or a financial action against Customer — the AI System may take an immediate, temporary protective action in response, but that action does not become permanent, and no final determination is made, until a human reviews the matter.
19.2 Outcome of Human Review. If human review confirms the concern, the temporary action may be made permanent, subject to the applicable provisions of the Agreement, including any notice or appeal rights that apply to that type of action. If human review does not confirm the concern, Leovoid will take appropriate measures to promptly restore the affected Account, Product, Solution, or Marketplace tool to its prior state.
19.3 Scope. This Section applies to a determination an AI System makes that could itself result in a High-Stakes Decision. It does not apply to a determination a human makes with the assistance of AI-generated information, which is governed by the applicable provisions of the Agreement generally rather than by this Section.
20. CHANGES TO THIRD-PARTY AI MODELS
Where an AI System relies on a third-party model or provider — including under Section 14.5 — that provider may update, modify, or discontinue the model or service it provides. Leovoid will use commercially reasonable efforts to maintain continuity of the affected feature, including by transitioning to a comparable alternative model or provider where reasonably available, but does not guarantee that a specific third-party model will remain available, and is not liable for a change a third-party provider makes to its own model or service.
21. APPEALS
21.1 Right to Appeal. Where Leovoid suspends, restricts, or terminates access to an AI-driven feature, an Automated Task, or an External AI Connection under these AI Terms of Use, Customer may appeal that decision using the contact information published in the Privacy Policy.
21.2 Process. An appeal should identify the affected feature, the action taken, and the basis for the appeal. Leovoid will review a timely appeal and respond within a reasonable time. Submitting an appeal does not suspend Leovoid’s action pending that review.
21.3 Finality. Leovoid’s decision following review of an appeal is final, without limiting any other right or remedy available to Customer under the Agreement or applicable law.
22. RELATIONSHIP TO LIMITATION OF LIABILITY
Leovoid’s liability arising out of or relating to an AI System, an Automated Task, an External AI Connection, or any other matter described in these AI Terms of Use is subject to the limitation of liability provisions of the applicable Platform’s Master Account Terms, applied as though these AI Terms of Use were part of the Account Terms for that purpose.
