1. ACCEPTANCE; RELATIONSHIP TO ACCOUNT TERMS AND SOLUTION TERMS OF SERVICE
These 10th Vantage Product Terms of Service (the “Product Terms”) govern 10th Vantage (“this Product”), stylized in Leovoid’s branding with the “th” as a superscript character but referred to in plain text throughout this and other legal documents, offered by Leovoid Technologies, Inc., a Delaware corporation (“Leovoid,” “we,” “us,” or “our”). These Product Terms are issued under, and form part of, the TenthLoop Master Account Terms (the “Account Terms”), which govern the Account and matters common to all Products offered on TenthLoop. These Product Terms apply wherever this Product is made available, across all Leovoid-operated domains and subdomains. The trademark and name under which this Product operates are governed by the Marks provisions of the Account Terms.
This Product comprises one or more distinct solutions, modules, or offerings (each, a “Solution”), each governed by its own Terms of Service (each, “Solution Terms”) that supplement these Product Terms, as further described in Section 3. These Product Terms, the Account Terms, and the applicable Solution Terms together form the Agreement between Customer and Leovoid with respect to this Product and the Solution engaged (together with any Service Terms Schedule, Tool Addendum, and Order Form, the “Agreement”). In the event of a conflict, the order of precedence stated in the Account Terms applies.
By accessing or using this Product or any Solution within it, Customer accepts these Product Terms in addition to the Account Terms. Capitalized terms not defined in these Product Terms have the meaning given in the Account Terms or, where a term relates to a specific Solution (such as “Report”), the meaning given in that Solution’s Terms.
2. DEFINITIONS
Capitalized terms not defined in this Section have the meanings given in the Account Terms.
“Registered Asset” means an item Customer registers with this Product for use across one or more Solutions within it, such as a website, domain, or other asset a Solution’s Terms designates as a Registered Asset, as further described in Section 4. A Solution’s Terms determines whether, and how, that Solution uses Registered Assets; a Solution whose Terms do not invoke Section 4 does not use Registered Assets.
“Bundle” means a subscription offered by Leovoid that provides access to more than one Solution within this Product for a single price, as published on the Site.
“Tier-Unlocked Access” means access to a Solution granted because Customer holds a sufficiently high plan tier of a different Solution within this Product, without a separate subscription to the unlocked Solution, as published on the Site for the applicable Solutions and tiers.
“Badge” means a certification badge, score badge, or similar mark Leovoid makes available for a Registered Asset that has achieved a qualifying result, as further described in Section 6.
“Verification Page” means the page hosted on a Leovoid-operated domain to which a Badge or a QR code in a Report links, as further described in Section 6.
3. SOLUTIONS WITHIN THIS PRODUCT
3.1 General. This Product may comprise one or more Solutions, each addressing a distinct offering within this Product. Leovoid may add new Solutions to this Product over time; each new Solution is governed by its own Solution Terms, published when that Solution becomes available, which supplement these Product Terms in the same manner as any other Solution within this Product.
3.2 Relationship Between Solutions. Except as expressly stated in a Bundle, in Tier-Unlocked Access, or elsewhere in the applicable Solution Terms, each Solution within this Product is independently subscribed to, priced, and governed; a right, limit, or entitlement under one Solution’s Terms does not extend to a different Solution absent such an express statement.
3.3 Determining Which Solutions Are Within This Product. A Solution is governed by these Product Terms where that Solution’s own Solution Terms state that the Solution is offered as part of this Product. The organization of a Solution within the Site’s navigation, dashboard, or other display structure is provided for Customer’s convenience and does not itself determine which Product Terms or Solution Terms govern that Solution; a change in how a Solution is displayed or organized on the Site does not, by itself, change which Product Terms apply to it.
3.4 Registered Assets Independent of Solution Subscriptions. A Registered Asset, and the data associated with it under Section 4, persist independently of whether any particular Solution subscription within this Product remains active, for as long as Customer’s Account remains active and that data has not been deleted in accordance with the Account Terms.
4. REGISTERED ASSETS
4.1 Applicability. This Section applies only to a Solution whose Solution Terms expressly state that this Section applies to that Solution. Where a Solution’s Terms do not so state, this Section does not apply to that Solution, and that Solution’s own Terms govern any equivalent concept.
4.2 Authorization Warranty. Customer represents and warrants, on a continuing basis, that for each Registered Asset it submits or registers: (i) Customer owns or lawfully operates the Registered Asset, or has obtained all authorizations, consents, and permissions necessary to register it and to use it within the applicable Solution; (ii) doing so will not violate any law, regulation, third-party right, or contractual obligation, including any applicable terms of use of the Registered Asset; and (iii) where Customer acts on behalf of a client, including under any agency, white-label, or reseller arrangement, Customer has secured its client’s authorization for such registration and for the processing of resulting outputs. Customer is solely responsible for any claim arising from the registration of a Registered Asset Customer was not authorized to register. Leovoid may decline, restrict, suspend, or terminate the registration of any Registered Asset where Leovoid reasonably believes the registration is unauthorized, abusive, unlawful, or poses a risk to Leovoid’s infrastructure or reputation.
4.3 Domain Verification, Generally. Verification of a Registered Asset is not required of every Account as a condition of registration. Leovoid may, in its discretion or based on automated system criteria (which may include risk indicators or the conflict described in Section 4.5), require an Account to complete verification for a Registered Asset, either at the time of registration or at any later time. Where verification is required, it may be completed (a) automatically, through a supported hosting or DNS provider integration (for example, a Cloudflare-style integration in which Customer authenticates with its provider, Leovoid proposes the required DNS record, and Customer approves the change before being returned to the applicable Solution), or (b) manually, by Customer copying a DNS record supplied by Leovoid and adding it to the Registered Asset’s DNS configuration through its own hosting or DNS provider, following which Leovoid will attempt to confirm the record. Verification demonstrates technical control of the Registered Asset; it is an administrative access determination and does not constitute a determination by Leovoid of legal ownership of, or legal authorization under Section 4.2 with respect to, the underlying asset, and Leovoid has no liability to any party arising from a verification outcome made in good faith on the basis of demonstrated technical control.
4.4 Pending Verification. Where verification is required of an Account for a Registered Asset and has not yet been completed, that Registered Asset remains in a pending status with respect to that Account: no results or related data are made visible to that Account with respect to the pending Registered Asset. A pending Registered Asset is not automatically deleted or expired; it remains pending indefinitely until Customer either completes verification or deletes it, with deletion governed by Section 4.6.
4.5 Required Verification on Conflicting Registration; Shared Access. Verification is required — of both the new claimant and the existing Account holder — whenever a Registered Asset (tracked per normalized identifier) is already registered to another Account at the time a different Account attempts to register the same Registered Asset. In that circumstance: (a) the new claimant’s registration is held pending, and the new claimant must complete the verification process in Section 4.3 for the registration to proceed; and (b) the existing Account’s corresponding registration is simultaneously marked with a pending-action status, requiring the existing Account holder to likewise complete verification to retain confirmed access. Upon successful verification by an Account, that Account is granted (or retains) access to the Registered Asset; verification by one Account does not remove or restrict the access of any other Account that has itself completed verification, and multiple Accounts may hold verified, concurrent access to the same Registered Asset. Each Account sharing a Registered Asset under this Section sees only its own activity with respect to that Registered Asset, and not the activity of any other Account sharing it. Access granted under this Section counts toward each respective Account’s applicable Plan Limits independently.
4.6 Deletion; Data Forfeiture. Deletion of a Registered Asset permanently and irreversibly deletes all data associated with that Registered Asset across every Solution that used it, effective immediately upon deletion, with no export, retrieval, restoration, or re-import option. Deletion of a Registered Asset exists to free capacity within Customer’s Plan Limits and may not be used to circumvent those limits. CUSTOMER ACKNOWLEDGES THAT REGISTERED ASSET DELETION IS FINAL AND ACCEPTS SOLE RESPONSIBILITY FOR ANY LOSS OF DATA RESULTING FROM ITS ELECTION TO DELETE A REGISTERED ASSET. This Section reflects the item-level deletion referenced in the Account Terms’ provisions on Plan Changes, Account Deletion, and Data Retention, and does not limit any right of a data subject under applicable Data Protection Laws with respect to their own Personal Data.
4.7 Registration Is Not Ownership. Registration of a Registered Asset confers no ownership or exclusive legal right in the underlying asset and does not constitute a determination by Leovoid that the registering Account is authorized under Section 4.2; it is a capacity and access allocation within this Product only.
4.8 No Cross-Solution Interpretation Absent Express Statement. Data or findings generated by one Solution with respect to a Registered Asset are not used, interpreted, correlated with, or presented by a different Solution unless the Solution Terms of both Solutions expressly state otherwise.
4.9 Migration of a Registered Asset. Where the underlying website, domain, or other asset represented by a Registered Asset changes — for example, following a domain migration — Customer may request that Leovoid associate the Registered Asset’s history, including prior evaluations and Badges, with the new identifier, subject to Customer completing verification of the new identifier under Section 4.3. Absent such a request and completed verification, a new identifier is treated as a new Registered Asset with no history from the prior one.
5. SUBSCRIPTION MODELS: INDEPENDENT, BUNDLED, AND TIER-UNLOCKED ACCESS
5.1 Independent Subscriptions. Except as provided in this Section, each Solution within this Product is subscribed to independently, under the plans and pricing published for that Solution.
5.2 Bundles. Leovoid may offer a Bundle providing access to more than one Solution within this Product for a single price. A Bundle’s specific composition, pricing, and plan tiers are as published on the Site at the time of purchase.
5.3 Tier-Unlocked Access. Leovoid may make a Solution available to Customer as Tier-Unlocked Access based on Customer’s plan tier under a different Solution within this Product, as published on the Site for the applicable Solutions and tiers, without requiring a separate subscription to the unlocked Solution.
5.4 Prerequisite Solutions. Leovoid may require Customer to hold a specified Solution within this Product, at a specified plan tier, as a prerequisite before Customer may purchase or access a different Solution within this Product, consistent with the Product- and Plan-Gated Availability provisions of the Account Terms. Where a prerequisite is not met, Customer may add the prerequisite Solution to the same order to satisfy it, in accordance with those provisions.
5.5 Plan Limits Under a Bundle, Tier-Unlocked Access, or Prerequisite Relationship. Whether a Solution accessed through a Bundle, Tier-Unlocked Access, or a prerequisite relationship under Section 5.4 is subject to its own independent Plan Limits, or shares a single pooled Plan Limit with another Solution, is determined by the terms of the applicable Bundle, tier, or prerequisite relationship as published on the Site, and may vary between different Bundles, tiers, or relationships.
5.6 Discontinuation or Modification. Leovoid may modify or discontinue a Bundle, Tier-Unlocked Access, or a prerequisite relationship under Section 5.4 prospectively, consistent with the pricing-change provisions of the applicable Solution Terms; doing so does not affect Customer’s access for the remainder of a then-current Billing Cycle for which Customer has already paid.
6. CERTIFICATION BADGES AND VERIFICATION
6.1 Badges Generally. Where a Registered Asset has achieved a qualifying result under the applicable Solution’s Terms, Leovoid may make a Badge available for that Registered Asset. The specific criteria that qualify a Registered Asset for a Badge, including whether a Badge reflects a score and what is required to obtain a score, are determined by the Solution Terms applicable to the Solution that produced the qualifying result. Availability of Badges may vary by plan tier, as published on the Site, consistent with the Product- and Plan-Gated Availability provisions of the Account Terms.
6.2 License to Display. Subject to Customer’s continued qualification under Section 6.1, Leovoid grants Customer a limited, non-exclusive, non-transferable, revocable license to display a Badge on Customer’s own website or materials relating to the Registered Asset for which it was issued, and to embed the Badge using an API, key, or code Leovoid provides for that purpose. This license does not permit modification of the Badge, use of the Badge for a Registered Asset other than the one for which it was issued, or use of the Badge in a manner that misrepresents its meaning.
6.3 Consent to Embedding. By electing to display a Badge, Customer consents to the corresponding code, script, or embedded element residing on Customer’s own website or directing to a location hosted by Leovoid, as applicable to the embedding method Customer selects.
6.4 Automated Embedding; Access Authorization. Where Customer elects to have Leovoid automatically embed a Badge using a plugin, integration, or other automated tool, Customer authorizes Leovoid and such tools to access, modify, and insert code into the Registered Asset’s website files, content management system, or hosting environment solely as necessary to embed, update, or remove the Badge in accordance with this Section. Customer represents that it has the necessary rights and permissions to grant this access with respect to the Registered Asset, consistent with Section 4.2. Leovoid is not responsible for any disruption to the Registered Asset resulting from Customer’s own website configuration, incompatible plugins or tools, or Customer’s revocation of the access described in this Section.
6.5 Automatic Termination; Removal Obligation. The license in Section 6.2 terminates automatically, without notice, at the time Customer no longer qualifies for the Badge under Section 6.1 — including upon cancellation or downgrade of the applicable Solution subscription, or deletion of the underlying Registered Asset. Customer will promptly remove a Badge from display upon termination of the license to display it. Leovoid’s obligations under this Section 6 do not depend on Customer’s compliance with this removal obligation, and Customer remains solely responsible for continuing to display a Badge after the license to display it has terminated.
6.6 Verification Page. A Badge, and a QR code included in a Report, link to a Verification Page hosted on a Leovoid-operated domain. The Verification Page displays (a) the result of the specific evaluation that produced the Badge or Report to which it relates, as of the date of that evaluation, and (b) Customer’s current qualification status for that Badge as of the time the Verification Page is accessed. A Badge reflects the most recently completed qualifying evaluation only, and is not a continuous, real-time guarantee that the underlying Registered Asset continues to meet the qualifying criteria at all times thereafter.
6.7 Availability of the Verification Page. The Verification Page for a Registered Asset remains accessible for as long as the underlying data supporting it has not been permanently deleted under the Account Terms’ provisions on Plan Changes, Account Deletion, and Data Retention — including where the Registered Asset itself has been deleted but Customer’s Account remains active, and where a Subscription has been canceled but the underlying data is retained during the applicable Grace Period or under a Retention Storage Subscription. The Verification Page becomes inaccessible once that data has been permanently deleted.
6.8 Registered Assets with Shared Access; Single Active Badge. Only one Badge may be active for display with respect to a given Registered Asset at a time, regardless of how many Accounts hold verified access to it under Section 4.5. A Badge reflects the qualifying evaluation of, and is associated with, whichever Account’s Badge is currently active for that Registered Asset. An Account seeking to activate a Badge reflecting its own qualifying evaluation must first deactivate any Badge currently active for that Registered Asset under a different Account before its own Badge may be activated.
6.9 No Third-Party Reliance. The Verification Page, and any information displayed on it, are made available for informational purposes to any person who accesses them, but do not create a contractual relationship, warranty, or obligation running from Leovoid to any person other than Customer. Leovoid’s obligations with respect to a Badge and a Verification Page run solely to Customer under the Agreement.
6.10 No Endorsement Beyond the Evaluation. A Badge and a Verification Page reflect the result of the applicable evaluation only, consistent with the no-legal-advice and no-compliance-guarantee provisions of the applicable Solution Terms, and do not constitute a broader endorsement, certification of legal compliance, or guarantee by Leovoid. A Badge is Leovoid’s own private commercial designation and is not a government, statutory, or regulatory certification, accreditation, or approval of any kind, and must not be represented as such.
6.11 Revocation for Cause. In addition to the automatic termination described in Section 6.5, Leovoid may revoke a Badge and deactivate the associated Verification Page at any time if Leovoid reasonably believes the qualifying evaluation was obtained through fraud, misrepresentation, or manipulation of the evaluation process, if Customer has breached the Agreement, or if continued display of the Badge would be misleading. Upon termination of Customer’s Account for cause under the Account Terms, every Badge associated with that Account is immediately deactivated, and the associated Verification Page immediately reflects that deactivation, independent of the data-retention timeline that otherwise applies under Section 6.7.
6.12 Voluntary Non-Display. Customer may elect not to display a Badge for which it otherwise qualifies, or may deactivate a previously active Badge, at any time, without affecting Customer’s underlying qualification, evaluation history, or ability to reactivate that Badge later while Customer continues to qualify.
7. DISCONTINUATION OF THIS PRODUCT
7.1 Discontinuation. Leovoid may discontinue this Product in its entirety. Where Leovoid does so, Leovoid will provide Customer advance notice consistent with the notice provisions of the Account Terms and as further specified in the Documentation, and Customer’s data will be handled in accordance with the Account Terms’ provisions on Plan Changes, Account Deletion, and Data Retention as though each Solution subscription within this Product had been canceled.
7.2 Effect on Badges and Verification Pages. Discontinuation of this Product does not, by itself, immediately remove an already-issued Badge’s license to display or render a Verification Page inaccessible; those continue to be governed by Section 6 and the data-retention timeline that results from the discontinuation under Section 7.1.
7.3 Discontinuation of a Single Solution. Where Leovoid discontinues a specific Solution within this Product rather than this Product in its entirety, that discontinuation is governed by the applicable Solution Terms and the Account Terms’ provisions on Plan Changes, Account Deletion, and Data Retention. A Badge or Verification Page associated with the discontinued Solution continues to be governed by Section 6 for as long as the underlying data has not been permanently deleted.
8. ARTIFICIAL INTELLIGENCE
Use of artificial intelligence in connection with this Product, a Solution within it, or a Marketplace tool relating to this Product — regardless of the specific technology, model, protocol, or method by which it is made available or integrated, and regardless of whether it is described elsewhere in the Agreement under a specific feature name — is governed by the AI Terms of Use published on the Site, incorporated by reference.
