1. ACCEPTANCE; SCOPE
These Student and Veteran Program Terms (the “Program Terms”) govern the Leovoid Student Program and the Leovoid Veteran Program (each, a “Program”), under which Leovoid Technologies, Inc., a Delaware corporation (“Leovoid,” “we,” “us,” or “our”), may offer verified individuals pricing on its Offerings that differs from its standard published pricing (“Program Pricing”). These Program Terms are a Platform-level supplement to the TenthLoop Master Account Terms (the “Account Terms”), and together with the Account Terms, the applicable Product Terms, Solution Terms, Tool Addenda, and Order Forms, form the Agreement between a participant and Leovoid with respect to the Program. In the event of a conflict between these Program Terms and the Account Terms regarding Program Pricing, these Program Terms control solely with respect to the Program. By applying to, enrolling in, or accepting Program Pricing, a participant confirms that it has read, understood, and agrees to be bound by these Program Terms.
A Program is not available automatically or as of right. Leovoid may accept, decline, condition, suspend, or end any application or participation in its sole discretion. Leovoid is not affiliated with, endorsed by, or acting on behalf of any educational institution or governmental or military body by operating a Program.
2. ELIGIBILITY
Student Program. An individual is eligible for the Student Program while enrolled as a student at an educational institution that meets the eligibility criteria stated in the Documentation, as determined by Leovoid through the verification process in Section 3.
Veteran Program. An individual is eligible for the Veteran Program if the individual has served in the armed forces of a country in the manner and to the extent stated in the Documentation, as determined by Leovoid through the verification process in Section 3.
General. Program Pricing is available only to the verified individual who is the Account Owner of the Account to which it applies, and only to one Program at a time for a given Account. The Offerings, plan tiers, and regions eligible for Program Pricing, the amount of any discount, and any limits on it are as published on the Site or in the Documentation or as presented at checkout, and may differ by Program and Offering. The Accessibility Expert Audit add-on and the Expert Network are eligible for Program Pricing to the extent published as eligible. Program Pricing is not combinable with other discounts or promotions unless stated.
3. VERIFICATION
Eligibility is subject to verification before Program Pricing is applied and from time to time afterwards. Leovoid may require the applicant to submit information and documents reasonably necessary to confirm eligibility, which may include, for the Student Program, proof of current enrollment, a school-issued email address, a student identification card, or a transcript or enrollment certificate and, for the Veteran Program, proof of military service, a military or veteran identification card, a discharge or service record, or a certificate, together with government-issued identification to confirm that the applicant is the person named in the documents, as described in the identity verification provisions of the Account Terms. Verification may be conducted by Leovoid directly or by a third-party verification provider Leovoid engages, and the applicant authorizes that review. Leovoid determines in its sole discretion whether verification is satisfied and what documentation suffices.
Leovoid may require re-verification periodically, at renewal, upon a change in the Account, or where it has reason to doubt continued eligibility. Failure to complete verification or re-verification within the time Leovoid specifies ends eligibility for Program Pricing under Section 6. Documents and information submitted for verification are used for verification, are handled as described in the Privacy Policy and, where a third-party provider is used, are subject to that provider’s processing as disclosed in the Data Subprocessors page, and are retained only as long as reasonably necessary for verification and related legal and compliance purposes.
4. PROGRAM PRICING; COMMERCIAL USE
Program Pricing applies to the eligible Offerings purchased by the verified individual’s Account, for the term and on the Billing Cycle selected, and is otherwise subject to the Account Terms, the applicable Product Terms, Solution Terms, and Tool Addenda, and the Fees, billing, renewal, and tax provisions that apply to those Offerings. Leovoid may change, suspend, or discontinue Program Pricing or any Program, in whole or in part, prospectively; a change takes effect for an existing Subscription at its next renewal, and the then-current term is honored, consistent with the price change provisions of the applicable Solution Terms. Program Pricing carries no cash value and is not guaranteed to recur.
Program Pricing does not limit the commercial use of an Offering. A verified individual may use Offerings purchased at Program Pricing for business, professional, and commercial purposes, including for its own clients, to the extent the Agreement permits that use for the Offering concerned. This Section does not permit any activity prohibited by Section 5.
5. RESTRICTED CONDUITS
Program Pricing is for the verified individual’s own Account. To keep Program Pricing from becoming a means for persons who are not eligible to obtain its benefit, the participant will not, and will not permit any User or third party to, do any of the following:
(a) Resale. Resell, sublicense, rent, assign, or otherwise make available for consideration, or as part of a bundle, access to an Offering purchased at Program Pricing, or Credits or Tokens purchased at Program Pricing, to any person who is not a verified participant in the same Program. Delivering reports and services produced with an Offering to the participant’s own clients, where the Agreement permits it, is not a resale of the Offering.
(b) Shared Access to ineligible recipients. Use Shared Access under the Account Terms to make a Workspace of an Account that holds Program Pricing available to a Recipient Customer that is not a verified participant in the same Program, where doing so gives that recipient the use of Offerings, capacity, or Credits obtained at Program Pricing.
(c) Credit transfers. Transfer, gift, assign, sell, or otherwise move Credits or Tokens purchased at Program Pricing, or any balance or benefit derived from them, to any other Account or person. Reallocating a balance between Workspaces within the same Account as the Account Terms permit is not a transfer.
Leovoid may use any information available to it to identify a breach of this Section. Section 5 applies in addition to the Account Terms’ provisions on prohibited conduct, and a breach is a material breach of the Agreement.
6. END OF ELIGIBILITY; CONVERSION TO STANDARD PRICING
Student status. Student Program eligibility lasts only while the participant remains an enrolled student, and ends upon graduation, withdrawal, or other loss of enrolled status, or upon the date stated in the Documentation or Leovoid’s verification, whichever is earlier. A participant must notify Leovoid promptly when its eligibility ends.
Veteran status. Veteran Program eligibility continues for as long as the participant remains verified and the Program remains available, subject to re-verification under Section 3.
Conversion. When a participant’s eligibility ends for any reason, including failure to complete re-verification, or when a Program ends, the participant’s Subscriptions and eligible Offerings convert to standard published pricing, without further action by the participant, as of the conversion date Leovoid specifies, which will be no earlier than the end of the then-current Billing Cycle unless the conversion is the result of a breach of these Program Terms. By enrolling, the participant acknowledges and consents to this conversion and to the charging of its payment method on file at standard pricing on and after the conversion date. Leovoid will disclose the conversion at enrollment and will send reminders before the conversion takes effect, through the notice methods provided in the Account Terms. Before conversion takes effect, the participant may change or cancel its plan as the Account Terms provide. Credits or Tokens already purchased remain subject to their stated expiration and to Section 5, and the participant’s Account otherwise continues as a standard Account, with plan limits and data retention governed by the plan changes and data retention provisions of the Account Terms where a standard plan has lower limits.
7. REPRESENTATIONS; MISUSE
The participant represents and warrants that all information and documents it submits are accurate, genuine, and its own, that it meets the eligibility requirements, and that it will keep them true throughout its participation. If Leovoid determines that a participant was not or is no longer eligible, provided inaccurate or false information or documents, or breached Section 5, Leovoid may, in addition to its other rights: (a) revoke Program Pricing and convert the participant to standard pricing, immediately where it considers necessary; (b) charge the participant the difference between the standard price and the Program Pricing paid, for the period of ineligibility or breach; (c) revoke, cancel, or recover Credits or Tokens obtained at Program Pricing that were transferred or used in breach of Section 5; (d) suspend or terminate the participant’s Account or any Offering under the Account Terms; and (e) bar the participant from any Program. A false statement or forged document is also a breach of the Agreement’s prohibited conduct provisions and may be reported to the issuing institution, the relevant authority, or both where Leovoid considers it appropriate.
8. GENERAL; CHANGES; CONTACT
These Program Terms are governed by the dispute resolution, governing law, and general provisions of the Account Terms. Leovoid may update these Program Terms in accordance with the change and notification provisions of the Account Terms, and continued participation after an update constitutes acceptance of it.
